Secured Loan Documentation Nuggets

This part of the Library will be openning shortly. It contains the nuggets relating to secured lending. Each of these nuggets is a maximum of 10 minutes long, to enable you to fit them in easily. Each nugget ends with a short quiz (5 questions at most) to test your understanding.

The nuggets are divided into groups as set out below. If you are registered to use the library, you will be ale to access the nuggets by going to the group of nuggets you are interested in, then locating and clicking on the description of the particular nugget you are looking for. That will open a window, which will quickly show the first slide of the presentation. Have your headphones or speakers turned on and ready. If the presentation does not start automatically, you will find the play and pause buttons at the bottom of the window.

The groups of nuggets are

Structure and documentation including lending to spv’s, structural subordination, basic structure of secured lending, the documentation - security aspects, key loan agreement Issues and clauses, title financing, transferring secured loans and guarantees;
English law security including English security concepts, English security types, floating charges and priority issues;

Due Diligence, including factual due diligence, clawback (general issues, English insolvency clawback and international insolvency clawback), legal opinions, security attachment, creation and enforcement;
Security on assets, including security on land and security on moveables; and

Security on rights, including security on contracts (covering contract terms, contract default, legal issues and arrangements with third parties such as step in rights and acknowledgements of notices of assignment), security on cash, security on insurances, security on intellectual property and security on investments.
